ST. LOUIS-Furniture Brands International has reached an agreement with mattress manufacturer Boyd Specialty Sleep for collections of mattresses and related sleep accessories under several brands in the Furniture Brands portfolio.

The sleep products will be offered under the Broyhill, Lane, Drexel Heritage and Thomasville brands. They will range from mid- to ultrapremium price points and will be marketed through multiple bedding distribution channels.

LEXINGTON, Ky.-Expenses related to the company’s merger with Sealy played a significant role in the 77.8 percent slide in net income for Tempur-Pedic in its first quarter.

Net income in the quarter, which ended on March 31, was $12.5 million. The Sealy acquisition resulted in $16 million of transaction and integration costs, which had a hand in beefing up Tempur-Pedic’s selling, marketing, general and administrative expenses by 21.4 percent in dollars and 601 basis points as a percentage of sales, to 37.2 percent.

LEXINGTON, Ky.-The Federal Trade Commission has cleared Tempur-Pedic’s planned acquisition of Sealy.

A Tempur-Pedic statement said the company plans to close the acquisition on March 18, “subject to customary closing conditions.” As previously announced, the deal calls for Tempur-Pedic to acquire all of Sealy’s outstanding common stock for $2.20 per share, along with all of Sealy’s outstanding convertible and nonconvertible debt. The total value of the transaction will be about $1.3 billion, the statement said.

Mattress Firm Deals for Factory Mattress & Water Bed Outlet

HOUSTON-Mattress Firm has signed an agreement to acquire the assets and operations of Factory Mattress & Water Bed Outlet of Charlotte for $11.2 million.

A Mattress Firm statement said the closing of the deal is expected to take place by the end of the fiscal fourth quarter, or about the end of January. Factory Mattress & Water Bed Outlet has 28 mattress specialty stores in North Carolina and South Carolina, all branded as Mattress Source. Mattress Firm said it intends to rebrand the stores as Mattress Firm subsequent to the closing.

HOUSTON-Cost increases countered a significant gain in sales to hold Mattress Firm to a bare 1.1 percent gain in net income in its fiscal third quarter, to $12.5 million.

Selling, marketing, general and administrative expenses jumped 66.5 percent in dollars and 300 basis points as a percentage of sales. Due to a 51.8 percent increase in cost of goods sold, gross margin slipped 30 basis points to 39.7 percent.

MINNEAPOLIS-Fueled by record sales, third-quarter net income for Select Comfort climbed 52.1 percent to $26.2 million.

Net sales for the quarter, which ended on Sept. 29, rose 23.7 percent to $246.8 million, a new record for the third quarter, and including a same-store sales gain of 21 percent for Select Comfort’s own stores. Shelly Ibach, the company’s president and CEO, attributed the strong sales to shoppers’ positive response to the Sleep Number brand experience, including its proprietary products and store experience.

HOUSTON-Joseph Fortunato, chairman, president and CEO of General Nutrition Centers, has been elected to the Mattress Firm board of directors.

Fortunato joined GNC in 1990, and was appointed to his current posts with the company in 2005. Steve Stagner, Mattress Firm’s president and CEO, cited Fortunato’s “deep experience in the retail industry, particularly as it relates to building a strong national brand.”

In a deal that will create a $2.7 billion mattress powerhouse and change the face of the sleep-products industry, Tempur-Pedic has signed an agreement to purchase Sealy for a total transaction value of $1.3 billion.

To close the deal, Tempur-Pedic will pay $2.20 a share for all of Sealy’s outstanding stock, representing a premium of about 23 percent on Sealy’s 30-day average closing price on Sept. 26. In addition, Tempur-Pedic will assume or repay all of Sealy’s outstanding convertible and non-convertible debt. The transaction is expected to close during the first half of 2013.

The letter was also filed with the U.S. Securities and Exchange Commission. H Partners is Sealy’s second largest shareholder, owning 16.6 percent of the outstanding shares. In the letter, dated Sept. 27, H Partners said, “Today, we were shocked to observe that this board, after selling shares to public shareholders in April 2006 at $16 per share, is contemplating a sale of the company at a meager $2.20 per share.”

BOSTON-Buyout firm Advent International has reached an agreement to purchase a majority interest in AOT Bedding Super Holdings—the parent company of National Bedding Co., majority owner and licensee of Serta, and Simmons.

Terms of the transaction, which is expected to close in the fourth quarter, were not disclosed in a statement from Advent. Ares Management and Ontario Teachers’ Pension Plan, currently the majority investors in AOT, will keep what the statement described as “a significant equity stake” in the company.

Drops in key expense categories was the prime reason for the bottom line’s added health in the quarter. Thanks to a decrease of 1.5 percent in cost of goods sold, gross margin picked up 70 basis points to finish at 19.9 percent. Selling, general and administrative expenses shed 6 percent in dollars and 53 basis points as a percentage of sales, to 9.9 percent.

Net sales for the quarter, which ended on May 27, totaled $312 million. Much of the sales decline took place in the United States, where sales fell 5.2 percent. Net income for the fourth quarter, which ended on Dec. 31, reached a record $56.3 million, up 22 percent from the fourth quarter of last year. The industry posted its highest average gross profit in the past 10 years in 2010, the survey found.  In addition, inventory management (measured as gross margin divided by average inventory investment) also reached a 10-year high, and inventory turnover was close to a 10-year high. Net sales per employee and gross profit per inventory were both higher last year than in 2009.

Kluft Gains Eastern Foothold with Pennsylvania Plant Purchase

RANCHO CUCAMONGA, Calif.–Mattress maker E.S. Kluft & Co. has agreed to acquire the Park Place Corp. manufacturing and distribution center in Denver, Pa.

Terms of the transaction were not disclosed. A company statement said the facility will enable Kluft, which up to now has been manufacturing only in California, to better service accounts in the eastern and central U.S. regions.

The acquisition is expected to close later this month, after which the 86,000 square-foot facility will be retrofitted for Kluft’s production processes.

Schoppert Upped to Select Comfort CFO

MINNEAPOLIS-First-quarter net income for Select Comfort totaled $16.6 million, a strong 114 percent ahead of its first-quarter bottom line a year ago.

The mattress manufacturer-retailer benefited from a 22 percent increase in net sales, to $193.1 million in the first quarter, which ended on April 2. Sales were driven by comparable-sales growth of 26 percent in its company-owned stores. In addition, Select Comfort’s gross margin grew by 170 basis points to 63.8 percent, thanks to a favorable mix of product sales, offset only partially by rising commodity costs.

Sealy Posts $4.5 Million Net Loss in Fourth Quarter

TRINITY, N.C.–The divestiture of manufacturing operations in Europe and discontinued manufacturing in Brazil led to a $4.5 million net loss for Sealy in the fourth quarter, which ended on Nov. 28.

These moves hurt the mattress manufacturer’s bottom line to the tune of more than $7.9 million, and contrasted to net income of $2.6 million in the fourth quarter of last year. Counting only continuing operations, Sealy’s fourth-quarter net would have increased by 24 percent, thanks to the company’s efforts at reducing expenses and increasing operational efficiencies.

INDIANAPOLIS–Net income for mattress/appliance retailer hhgregg dropped 20 percent in its fiscal second quarter, to $3.4 million.

The bottom line suffered in spite of a 45 percent increase in net sales to $480.9 million in the quarter, which ended Sept. 30, 2010. Part of the quarterly numbers were a 41 percent jump in selling, general and administrative expenses and a 46 percent rise in cost of goods sold—the latter of which led to an 80 basis-point drop in gross margin to 30 percent. hhgregg also reported a 77 percent climb in net advertising expense.

ATLANTA–Simmons has introduced a quick-response (QR) tagging application for mattresses from its 2010 Beautyrest line.

The tags are barcode-like visuals that can be scanned or read by “smart” phones such as the iPhone, Droid or Blackberry. SHELTON, Conn.–Latex International will open a mattress component fabrication facility in Wichita Falls, Texas, on Sept. 1.

The 100,000-square-foot plant is Phase One of the company’s new fabrication strategy. According to a company statement, the turnaround came about due to the progress the manufacturer/retailer has made in both boosting total and same-stores sales, and in controlling costs and increasing productivity.

Total sales rose 15 percent to $139 million, helped by a dramatic 28 percent increase in same-store sales. Gross margin gained 60 basis points to finish the quarter at 62.2 percent.

Tempur-Pedic Nearly Doubles Second-Quarter Net

LEXINGTON, Ky.–Net income for Tempur-Pedic reached $33.5 million in the second quarter, almost twice as much as in the second quarter of 2009.

The company accomplished this on a whopping net-sales increase of 42 percent to $263 million, along with a gain in gross margin of 210 basis points to 48.7 percent. In a conference call with investment analysts yesterday, Mark Sarvary, Tempur-Pedic’s president and chief executive officer, said both domestic and international sales grew significantly, in spite of “an environment that is still quite unpredictable.”

Fazio officially begins his new post today. He is succeeding Steve Fendrich, president and chief operating officer, who is leaving Simmons. The hiring of Fazio is the first major move by Ares Capital Management and the Ontario Teachers’ Pension Plan, which closed their acquisition of Simmons in January.

The manufacturer/retailer did so based on a combination of rising sales and expense controls. Net sales were $158 million in the first quarter, up 13 percent and including a 29 percent increase in same-store sales. In addition, Select Comfort’s gross margin of 62.1 percent was 350 basis points above the same figure in last year’s first quarter.

ALEXANDRIA, Va.–U.S. sales of mattresses rose 2.3 percent on a dollar basis in January, reaching $275.8 million, according to data from the monthly Bedding Barometer provided by the International Sleep Products Association.

The year also started on a positive note regarding unit sales, which gained 2.3 percent over sales in January 2009, totaling 929,022. The average unit selling price for the mattresses sold in January was $295.86, essentially flat compared with January of last year.

For 2009 as a whole, dollar sales were almost $2.5 billion, down 9.2 percent from 2008, and unit sales fell 5.8 percent to nearly 8 million. The filing is one of 20 cases began by Consolidated Bedding and its affiliates. HIGH POINT, N.C.–High Point’s sponsoring manufacturers have set spring premarket for March 23 to 24 and fall premarket for Sept. 14 to 15 after voting late last month to retain the previously established schedule.
High Point has revitalized and repositioned premarket over the past two years, and it has become an important special event offering a competitive advantage for retailers and manufacturers, according to show organizers.

Bates Takes Sales Post at Spring Air

BOSTON–Ed Bates has been named vice president and director of sales for the Northeast region at Spring Air.
Bates reports to Steve Cumbow, acting chief executive officer, in this newly created position.
For 25 years, Bates operated the local Spring Air license company, Spring Air New England, and was one of eight independent licensees who sold their businesses to Spring Air in June 2007 to create a unified Spring Air Co. Since then, he has served as a part-time consultant to the company.

Las Vegas Market Names New Senior VP

LAS VEGAS–World Market Center Las Vegas has appointed trade-show industry veteran Phillip McKay to a new position created to oversee leasing in the gift, lighting, rugs and decorative accessories segments, said Robert Maricich, president and CEO, in a statement.
McKay, who joins World Market as its new senior vice president, will also be responsible for launching new product line categories, and the development of existing and future trade-show events at World Market Center. He will report to Maricich.

Select Comfort Posts Profit for Third Quarter

MINNEAPOLIS–Mattress manufacturer/retailer Select Comfort has reported its first quarterly profit of 2008.
The company posted net income of $983,000, down from last year’s third-quarter net of $11.9 million but an improvement on the net losses of $7.1 million in the first quarter and $6.6 million in the second quarter.

LAS VEGAS–In what amounts to a direct conflict with the High Point Market, World Market Center Las Vegas just announced this afternoon that it will shift to a fall and winter schedule for its market weeks in 2009, instead of the summer and winter rotation it has had since its start.
The winter 2009 dates, Feb. 9 to 13, had previously been announced, but the big news is the second show, which will now be held Sept. 14 to 17, instead of the last week of July. Each Vegas show will be reduced by one day to a four-day schedule as well.

AT THE MARKET–The Las Vegas Summer Market opens today, highlighted by the opening of Building C, the 2.1 million-square-foot addition to the home furnishings campus.
Nearly 1,500 companies are exhibiting in the more than 5 million squre feet of showrooms in the three buildings.
A new destination at the show is the Lodge Living area, a 25,000-square-foot glass-enclosed showroom in Building C with products inspired by outdoor living such as offerings from Woolrich.

LAS VEGAS–World Market Center Las Vegas said it moved the dates for its winter 2009 market from the last week of January to Feb. 9 through Feb. 13, 2009, to better align the market with exhibitor business cycles, relieve industry show conflicts and offer more favorable Las Vegas hotel rates.
Specifically, Las Vegas is targeting more international attendees, who might attend January shows in Europe, and the gift industry, which also has a very crowded January trade show calendar, officials said.

ATLANTA--Steve Fendrich has been appointed president and chief operating officer at Simmons, effective Jan. 1.
